Ethics + Communications = 45% of the Series 63
27 of 60 scored questions test Ethical Practices and Communications. Generic Series 63 prep treats these as soft topics. The actual exam treats them as the exam. This guide is built around that fact — weighted to the official NASAA 25 / 20 / 15 / 15 / 10 / 5 / 5 / 5 section distribution from the June 12, 2023 specs.

The NASAA Section Weighting Most Candidates Miss
NASAA’s June 12, 2023 Series 63 specifications distribute the 60 scored questions across eight content areas. Two areas account for nearly half the exam. The other six account for the rest, with a clear top-four that drives 75% of the test.
Ethical Practices and Obligations
15 questions. Prohibited conduct, conflicts of interest, fiduciary duty for IAs, suitability obligations, fees and compensation, customer agreements. THE BIGGEST SECTION.
Communications with Customers
12 questions. Advertising, sales literature, performance reporting, social media, the SEC IA Marketing Rule (April 2022), testimonials/endorsements, complaints, disclosures.
Regulation of Broker-Dealers
9 questions. Registration, exclusions (snowbird rule, institutional), financial requirements, supervision, books and records, recordkeeping.
Regulation of Agents
9 questions. Agent definition (effects or attempts to effect), exclusions (clerical, issuer for exempt securities), Form U4/U5, multiple state registration.
Remedies & Administrative Provisions
6 questions. Administrator powers, civil rescission under USA §410, criminal penalties, statutes of limitations, hearings, judicial review.
IAR Regulation
3 questions. Investment adviser representative definition, registration, supervision, the agent vs. IAR distinction.
IA Regulation
3 questions. Investment adviser definition (ABCs test), state vs. federal registration under NSMIA ($110M AUM threshold), exemptions.
Securities & Issuer Regulation
3 questions. Definition of security (Howey test), exempt securities vs. exempt transactions, registration by coordination/qualification/notice filing.
Ethics + Communications = 45% of the exam. Add BD and Agent regulation = 75%. These four sections drive three-quarters of every passing score.
The Minimum Viable Broker-Dealer Rep Stack
SIE + Series 7 qualifies you as a FINRA General Securities Representative — but you cannot legally act as an “agent of a broker-dealer” in your home state until you also pass the Series 63. Three exams. One complete rep stack.
Total time investment for the full stack: typically 4-6 months of focused study from a standing start. Total exam fees: ~$642. Total of these three Mark Sias study guides: $104.91.
What Makes This Guide Different From Generic Series 63 Prep
Six high-leverage areas account for the bulk of Series 63 missed questions. This guide drills each one with the precision that the actual exam tests.
What’s Inside the 46-Page Guide
Fourteen sections weighted to the official NASAA 25/20/15/15/10/5/5/5 distribution, with 50 practice questions distributed exactly 14/10/8/7/5/2/2/2 to mirror the actual exam.
Who This Guide Is Built For
New Broker-Dealer Hires
Sponsored at Merrill, Morgan Stanley, Edward Jones, Schwab, Fidelity, J.P. Morgan, Wells Fargo, LPL, Raymond James, Ameriprise — working through the SIE + Series 7 + Series 63 sequence to register as an agent in your home state.
Just Passed the Series 7
Federal license done. Now you need state authorization — the Series 63 is what unlocks “agent of a broker-dealer” status in your home state. Practical convention: take 63 within weeks of the Series 7 while content is fresh.
Taking 6 + 63 or 7 + 63 Together
Most broker-dealer reps schedule the 63 as a co-requisite to the Series 6 or Series 7. Strategy: pass the federal exam first, schedule the 63 within 30 days. The 63 is the smallest scope exam of the three — passable in 2-4 weeks of focused study.
Moving States or Adding States
Already licensed in your home state but now adding registrations in additional states. The Series 63 is a one-time exam — once passed, it’s recognized in all 50 states. Just file Form U4 for the additional state.

The Series 63 is the third volume in Mark’s Securities licensing line, completing the SIE → Series 7 → Series 63 broker-dealer rep stack. Same content-distribution-weighted approach: 25% of the guide focuses on Ethics, 20% on Communications, 15% each on Broker-Dealer and Agent regulation — exactly mirroring the NASAA section weighting.
Frequently Asked Questions
Do I need to pass the SIE first?
NO. The Series 63 has NO SIE prerequisite. You can take the 63 before, during, or after the SIE. The 63 is also NOT a co-requisite to any other FINRA exam — it’s a completely standalone state law exam. Most candidates take it close to their Series 6 or Series 7 by practical convention, but the order is flexible.
Do I need a sponsoring employer?
NO at the exam level. You can self-enroll for the Series 63 through FINRA’s Test Enrollment Services System (TESS) without a sponsoring firm. In practice, most candidates take it as employees of a broker-dealer that files Form U4 on their behalf — but the exam itself is open to anyone.
Can I take this exam online from home?
NO. Unlike the SIE and Series 7 (which have online proctored options), the Series 63 is administered IN-PERSON ONLY at Prometric test centers since April 1, 2022. The only exception is for candidates with documented medical accommodations. Schedule at prometric.com after FINRA enrollment.
What’s the exam format and passing score?
60 scored multiple-choice questions + 5 unscored pretest items (65 total). 75 minutes. 72% to pass — 43 out of 60 scored correct. About 69 seconds per question — tight pacing. Exam fee approximately $147 — verify current at finra.org.
USA 1956 or USA 2002 — which version is tested?
The Uniform Securities Act of 1956 is the framework tested on the Series 63 — NOT the 2002 model. This matters because some states have updated their laws to align with the 2002 model, but the NASAA Series 63 specifications still test the 1956 version. Make sure your study materials match the version actually tested.
How long does Series 63 prep typically take?
Most candidates complete focused Series 63 study in 2-4 weeks (20-40 hours total). It’s the smallest scope exam in the broker-dealer rep stack — half the scope of the SIE and one-fourth the scope of the Series 7. The challenge isn’t volume; it’s the precision of definitions and the breadth of state law concepts in a 75-minute window.
Do I need the Series 63 in every state?
The Series 63 is a single national exam administered uniformly across all 50 states. Once passed, it satisfies the state agent law exam requirement in every adopting state (essentially all states except those that require the Series 66 instead — i.e., reps who hold the Series 65 already satisfy the IAR requirement, and the 66 combines both). Practical effect: take the 63 once, register via Form U4 in additional states as needed.
What’s the retake policy?
30-day waiting period after your 1st and 2nd failed attempts. 180-day waiting period after the 3rd failed attempt and subsequent failures within a 2-year period. Full $147 fee for each retake.
What’s the difference between Series 63, 65, and 66?
Series 63 = state law for agents of broker-dealers (this exam). Series 65 = state law for investment adviser representatives (IARs) — different career path, no Series 7 needed. Series 66 = combined Series 63 + 65 (requires Series 7 as co-requisite). If you’re with a broker-dealer planning to sell securities, the 63 is your exam. If you’re going RIA fee-based, the 65 is yours.
